Sophos Service Agreement
If a reseller, service provider, advisor, contractor or other party downloads the licensed products for you and/or installs the licensed products on your behalf before using the licensed products, such a reseller, service provider, advisor, contractor or any other party is considered your advertiser acting on your behalf, and you are deemed to have accepted all the terms of that end-user license agreement as if you have used the products directly. 13.1 Any dealer, dealer or dealer from whom you purchased the product will not be designated or authorized by Sophos as its servant or representative. No such person has the explicit or implied power to enter into a contract or to give you insurance, warranty or warranty with you, or to translate or modify this end-user license agreement in any way on behalf of Sophos or to engage it in any way. 13.2 You agree that Sophos may use all the technical information you provide, including and without limitation of the information provided as part of the optional release of the data in Term 8, for commercial purposes, including and without restriction for the support and development of the product. 13.3 You agree to pay the fee in full compliance with an invoice from Sophos or, if applicable, from a licensed dealer, distributor or distributor. Unless otherwise stated, the levy applies to taxes, taxes, licences, royalties, excise duties or federal, regional, local or other tariffs. They agree to pay these taxes or present an acceptable exemption certificate for Sophos and the appropriate authority instead of the relevant ones. Invoices may provide for interest payments on amounts that are not transferred on the due date. 13.4 You must grant Sophos or any independent accountant appointed by Sophos access to your premises and books and records at any time during normal business hours to verify, verify, verify, verify or monitor the manner and performance of your obligations under this end-user license agreement, including and without limitation of payment of all applicable royalties. Sophos may not exercise this right more than once in a calendar year. If an exam reveals that you paid too little to Sophos, you will be charged for Sophos and pay Sophos, within 30 days of the bill date, an amount corresponding to the deficit between the taxes due and those you pay. If the amount of the underpayment exceeds 5% of the royalties due or if the review finds a violation of the licensing restrictions under this end-user license agreement, you can also bear Sophos` reasonable costs for conducting the review, without prejudice to Sophos` other rights and remedies.
13.5 Sophos may, at its sole discretion, assign, if necessary, all its rights or obligations in connection with these subsidiaries to one of its subsidiaries, resellers, distributors or distributors. 13.6 Sophos may, at any time, change the terms and conditions of this end-user license agreement by an appropriate notice, including, but not limited to, the publication of revised terms on its website under the URL www.sopho.com/legal/eula.html linked to you. 13.7 Sophos` non-application of a specific clause in this end-user licensing agreement should not be construed as a waiver of its rights under this agreement. 13.8 The illegality, disability or inapplicability of part of this end-user licensing agreement does not affect the legality, validity or applicability of the rest. 13.9 If you and Sophos have signed a separate software license agreement in writing regarding the use of the product, the terms of this signed software license agreement prevail over all conditions contrary to this end-user license agreement. Otherwise, this end-user licensing agreement and schedule constitute the entire agreement between the parties with respect to the product and its licensing and replaces any other communication, oral or written agreement or assurance regarding the product, with the exception of oral or written communications,
